Regent Bancorp, Inc. has agreed to merge

 Regent Bancorp, Inc., Davie, FL (OTC: RGTB) has executed a definitive agreement to merge with and into Stonegate Bank, Pompano Beach, FL (NASDAQ: SGBK)

DAVIE, FL–(April 26, 2016) – Regent Bancorp, Inc. (OTC: RGTB) announced today the signing of a definitive agreement by which Stonegate (NASDAQ: SGBK) will acquire all the operations of Regent Bancorp, Inc. (“RBI”), including its wholly owned subsidiary, Regent Bank. Stonegate Bank’s management expects the combination will increase total assets to approximately $2.7 billion and will rank Stonegate Bank as the 9th largest bank headquartered in Florida.

Under the terms of the agreement, RBI shareholders will be entitled to receive 0.2893 shares of SGBK common stock for each share of RBI common stock, subject to adjustment in accordance with the terms of the merger agreement. The transaction is valued at approximately $9.02 per RBI share or $40 million in the aggregate, based on the closing price for SGBK common stock on April 25, 2016. The value of the total consideration expected to be received by RBI’s common shareholders represents approximately 1.4x RBI’s tangible book value at March 31, 2016 and 1.3x RBI’s estimated pro forma tangible book value at transaction close (based on anticipated transaction close in the third quarter of 2016 and incorporating the estimated purchase accounting marks and, as part of the transaction, the anticipated reversal of the valuation allowance against RBI’s deferred tax asset).

Regent Bank, headquartered in Davie, Florida, is a state chartered bank operating five branches located in Broward and Palm Beach Counties, Florida. RBI is the bank holding company for Regent Bank. As of December 31, 2015, RBI had total assets of $363 million, total loans of $274 million and total deposits of $293 million, on a consolidated basis.

“This acquisition significantly expands our deposit market share in Broward County to approximately 2.2%, resulting in Stonegate having the largest deposit market share of any community bank in Broward County,” said Dave Seleski, President and Chief Executive Officer of Stonegate Bank. “In addition, we increase our branch network to 3 branches in Palm Beach County with close to $350 million in total deposits. After consummation of the merger, Stonegate’s total combined deposits in southeast Florida are expected to exceed $1.5 billion. The combination will give Stonegate more leverage to deliver products to our target market in southeast Florida.”

Stonegate estimates the transaction to be immediately accretive to earnings per share with single digit accretion in the first full year. Furthermore, the transaction is expected to be immediately accretive to Stonegate Bank’s tangible book. This transaction will mark Stonegate’s ninth acquisition since 2009.

The merger has been approved by the Board of Directors of Stonegate Bank and RBI. In addition to certain customary closing conditions, approval by the shareholders of Regent Bancorp, Inc. and Stonegate Bank, as well as the applicable bank regulatory agencies, will be required prior to completing the transaction. The closing is expected to take place late in the third quarter of 2016.

We have a dropout epidemic. About 1.3 million students drop out every year. That’s 7,000 a day! The Firewall Center is a non-profit organization that provides free after-school tutoring, mentoring, and leadership development to at-risk middle and high school students every day in South Florida. One of the core principles they teach their students is to “Keep Giving Back.” This is a character trait necessary for their success in school, at home, and in their future workplaces.

On Saturday, April 30th, Regent Bank will join the Firewall Center’s 400 at-risk middle and high school students along with their mentors, school representatives, and community leaders who will serve together to make a difference in our neighborhoods.

A bit about Firewall Centers ( )

  • Firewall Centers began in 2003 after a teenager died of a drug overdose while left unsupervised after school. Since then, they have offered after-school tutoring and mentoring for at-risk middle and high school students.
  • Firewall Centers serve 400 at-risk students every day in their 8 centers in South Florida. One of the core principles they teach their students is to “Keep Giving Back.” This is a character trait necessary for their success in school, at home, and in their future workplaces.
  • In 2014, they were named the “Non-Profit Rising Star of the Year” at the Broward County Non-profit OscarsFirewall Centers founders, Andy and Janeth Fernandez, were awarded CITIZENS OF THE YEAR for 2014 and recognized “for outstanding commitment to our families” by Broward County School Social Work Association.

Triple E Equipment is Business Partner of the Quarter

Alex Berg, Triple E EquipmentRegent Bank’s Business Partner of the Quarter is Triple E Equipment, a national distributor of niche construction equipment, led by President and CEO Alex Berg.

According to Berg, the name, Triple E, stands for “environmentally energy efficient” machines, with the majority of the company’s machines being imported from around the world.

The company was founded in 2013 and began operations in January of 2014. At the time, Berg was working for his father, Richard, while attending Bauma, a leading international trade show for construction machines and equipment in Munich, Germany.

“We were looking for equipment for my father’s company when we came across a new machine that we had never seen before. The equipment company was looking for international distributors and I saw that there was a huge need for this machine in the United States,” said Alex.

Alex left his father’s company shortly after the trip to focus solely on starting a new business importing equipment and distributing it nationwide. After several months of negotiations, he signed a deal to be the sole distributor for SHERPA Mini Loaders in the United States.

SHERPA Mini Loaders makes compact mini loaders that are 31 inches wide, less than 1600 pounds and are powered by an electric motor. These machines produce zero carbon monoxide emissions, so they are safe for work inside occupied spaces such as hospitals, shopping malls, museums and greenhouses. These slim loaders can fit through standard doorways and on standard elevators. The machines also feature hydraulic capabilities that provide endless opportunities for attachments, such as buckets, pallet forks, hammers, scrapers, clamps, lifters, brooms, hooks and other items. The SHERPA loaders are built in the Netherlands, and Triple E has the exclusive distributorship rights to the USA. These machines are key to helping companies increase efficiencies and capabilities in areas that normally wouldn’t allow fume-producing equipment.

Triple E Equipment has a diverse clientele, including the California Academy of Sciences, a renowned scientific and educational institution located in San Francisco. The Academy uses Sherpa machines at its campus in Golden Gate Park, which features the country’s largest Platinum LEED-certified building and is home to a world-class aquarium, planetarium and natural history museum. “The SHERPA 100 ECO has allowed us to quietly complete projects without interrupting our daily operations. Being an exhaust-free machine also gives us the flexibility to use it inside the building without compromising the experience or safety of our guests and staff.” said the Academy’s landscape exhibits supervisor.

Triple E Equipment has partnered with Regent Bank since the company’s inception, with Alex working closely with Marilyn Abrams, Christy Zuluaga and Suzanne Moore at Regent Bank’s Boca Raton Office.

Berg said, “Regent Bank has helped us with a corporate line of credit so that we can purchase machines internationally for import to keep our stock readily available. The difficult thing about importing equipment internationally is that it takes a very long time to ship. The delivery time on a shipment could range anywhere from eight to 16 weeks, so we need to make sure we have an adequate supply of equipment in stock at all times. Our line of credit has helped us stay on top of that.”

Berg is proud of his company’s unique approach to working in the field of equipment distribution. “We try to do things differently from most equipment companies. You will not find any spec sheets or product manuals on our website – it is more user-friendly, with videos and photos of the equipment of job sites.”

He says the company incorporates the latest technologies into everything they do, which has led to its rapid success. “In 2015, Triple E Equipment hit a major goal of doing over $1 Million in gross sales, which is pretty amazing for a company that is barely two years old.”

Rob Maschue is President and CEO of Solutech, Inc.Rob Maschue is President and CEO of Solutech, Inc., a full-service environmental consulting firm established in West Palm Beach in 1999. He joined the Regent Bank West Palm Beach Advisory Board in 2000.

Solutech’s client base includes community banks, conduit lenders, pension funds, private developers, contractors and builders, attorneys, industrial end-users, as well as government and nonprofit agencies. Core business includes due-diligence forensic engineering and environmental consulting involved with property acquisition, new construction and refinancing. Services include Phase I and II Environmental Site Assessments, Property Condition Assessments, mold and asbestos studies, lead-based paint and radon testing, and wetland delineation and mitigation.

Additional areas of expertise include contamination studies and remedial action plans for properties such as dry cleaners, gas stations, foundries, golf courses and others with a history of chemical use. Solutech assists property owners with restoring these sites to productive use utilizing innovative techniques including excavation and removal of source material, and in-place treatment and monitoring of residuals. The company’s most recent area of practice includes design, installation and operation of sub-slab depressurization systems for buildings with a risk of vapor intrusion from subsurface contamination.

Rob says, “Our engineers, scientists and consultants are some of the best in the business, having more than 50 years of experience in South Florida.” And, although Solutech is based in South Florida, the company manages projects throughout the 48 contiguous United States and the Caribbean. Recent accomplishments include a refinance package of 12 manufactured housing communities in California and Oregon, and remediation of a shopping center in New Windsor, New York, under a Consent Order Agreement with the New York State Department of Environmental Conservation.

Rob’s father owned a land surveying company in Cleveland, to which he attributes his interest in the engineering field. After many years as a field engineer on roadway projects in Northeast Ohio, Rob moved to Central Florida in 1989 to work as a construction manager on large-scale developments in Orlando including construction of the fourth runway at the Orlando International Airport, Pleasure Island at Downtown Disney, and the Dolphin and Swan Hotels. In the early 1990s, he moved to West Palm Beach to work on the City Place development, and closure of the City of West Palm Beach yard trash site, the future home of the Houston Astros Spring Training Complex. After opening a regional office for a national consulting firm in Boca Raton in the late 1990s, he founded Solutech in 1999 to assist a Wisconsin-based firm with acquisition and growth, and 16 years later continues to service the business.

Sean Tanner Joins Pompano Beach Advisory Board

Sean TannerRegent Bank has appointed Sean Tanner to its Pompano Beach Advisory Board.

Tanner is the founder and Executive Officer of Ark Residential Corp., a Ft. Lauderdale-based company that offers design-build, construction management and development services. Ark specializes in building high-end single-family homes as well as multifamily and commercial projects. As Executive Officer, Tanner is responsible for the company‘s strategic growth, as well as overseeing construction, financial services and risk management.

Prior to starting Ark Residential, Tanner was the co-founder of Cambridge Specialty Construction Corp., a mid-sized commercial construction company. He also served as a Senior Officer for Paramount Worldwide, an RPC Holding company, a firm with over 30 years of experience building and developing large scale developments throughout Florida.

Tanner graduated from University of Florida and is a State Certified General Contractor. He is active in the local building trade industry, sitting on the board of directors for the Construction Executive Association.

Marilyn Abrams Promoted to SVP/Regional Mngr for PB County

marilyn abrams_newRegent Bank has promoted Marilyn Abrams to Senior Vice President/ Regional Manager for Palm Beach County. Based in the Boca Raton office, she previously served as Vice President/Market Manager and Regional Administrator.

In her new role, Marilyn will be responsible for Operations and Business Development for the Bank’s offices in Palm Beach County.

Marilyn began her banking career in Northport, Long Island. She worked as an Assistant Manager at a community bank in Raleigh, NC, and Manager for a banking services program in Annapolis, MD, before moving south and joining Regent Bank, where she has been for 17 years.
